This document is a public offer and governs the terms of cooperation between the client and the PROMSTO digital ceramics manufactory, operating as a registered sole proprietorship. By placing an order, you agree to the rules set forth below, which establish the legal framework for our production and logistics processes.
Jurisdiction and Governing Law
All domestic and international operations are governed by the applicable laws of Ukraine. All foreign economic transactions and delivery terms are interpreted in accordance with the International Rules for the Interpretation of Trade Terms (Incoterms 2020). Unless otherwise stipulated by a separate B2B agreement, any disputes that cannot be resolved through negotiations are subject to the exclusive jurisdiction of the courts at the manufacturer's place of registration.
Export, Customs Clearance, and Taxes
For international shipments, the client acts as the importer of record and bears full legal responsibility for compliance with the import laws of their country. All import duties, value-added taxes, customs broker fees, and other mandatory payments associated with customs clearance in the destination country are the sole responsibility of the client. PROMSTO is not liable for delays, confiscations, or additional costs caused by the actions of customs authorities in the destination country.
Limitation of Liability and Force Majeure
The manufactory's maximum financial liability for any claims is strictly limited to the amount actually paid by the client for the specific product. We are not liable for lost profits, production downtime, or any other indirect or consequential damages. PROMSTO is also fully exempt from liability for partial or complete failure to fulfill obligations if it is caused by force majeure circumstances. Such circumstances include, but are not limited to: acts of war, border blockades, global logistical crises, natural disasters, and systemic power outages.
Technological Tolerances and Return Policy
High-temperature firing involves the natural physical shrinkage of clay. Millimeter deviations from the ideal dimensions of a digital CAD model are an industry standard for ceramics and are not considered a manufacturing defect. Custom products manufactured according to the client's individual technical specifications cannot be returned or exchanged in accordance with Article 9 of the Law of Ukraine "On Protection of Consumer Rights". Catalog items may be returned within 14 days, provided they maintain their original marketable condition and show no signs of use. Claims regarding transportation damages are considered only if the damages are properly documented with a formal report in the presence of a logistics company representative exactly at the time of receipt.
Intellectual Property
All drawings, digital models, and technical specifications provided to us by the client are protected by a strict Non-Disclosure Agreement (NDA) and are not shared with third parties. PROMSTO retains all copyrights to its own design developments, parametric algorithms, and engineering formulas of ceramic masses.
